Terms of Service

The master agreement between Netz0 and every customer who creates an account, places an order, or uses a Netz0 service.

These Terms of Service ("Terms") are a binding agreement between Netz Inc., a Florida corporation doing business as Netz0 ("Netz0", "we", "us"), with postal address at 1110 Brickell Ave #400K-51, Miami, FL 33131, United States, and you, the person or entity that creates an account or orders services ("you", the "Customer"). By creating an account, placing an order, or using any Netz0 service, you accept these Terms.

The short version, in plain words (the full Terms below control): you pay in advance for the services you order; you can cancel anytime from your account; you get a one-time 45-day money-back guarantee; you're responsible for what you do with your services and for keeping your own backups; support is free and included, hands-on IT work is a separate paid service; we treat payment disputes as fraud; and we keep support conversations confidential and expect the same from you. If you do something abusive, the Acceptable Use Policy is the rulebook we enforce.

1. Structure of this Agreement

1.1 These Terms consist of this master document plus the following, each incorporated by reference and forming part of the agreement: the Acceptable Use Policy ("AUP"); the Service Level Agreement ("SLA"); and the Service Schedule applicable to each service you order, as listed at the legal center. If a Service Schedule conflicts with this master document, the Schedule prevails for that service.

1.2 Our Privacy Policy describes how we handle personal information. Product descriptions, plan limits, and prices are displayed at the time of purchase and in your account; they define what you bought but may change for future periods as described in Section 6.

1.3 The "Commitments" section of our Zero Overselling policy is incorporated by reference. Other informational pages we link to (such as the narrative portions of that policy, or help documentation) describe our services and practices but are not part of this contract unless expressly incorporated.

1.4 These Terms are written in English. Translations may be provided for convenience; the English version controls.

2. Eligibility and Account

2.1 You must be of legal age to contract in your jurisdiction (18 in most of the United States) and have the authority to bind any organization you register for. Services are not available where prohibited by United States law, including to persons or in territories subject to U.S. sanctions or export restrictions.

2.2 You agree to provide accurate, current account and billing information and to keep it updated. You are responsible for all activity under your account and for safeguarding your credentials. We support and recommend multi-factor authentication. Notify us promptly at the contacts in Section 20 if you believe your account is compromised.

2.3 One agreement covers your whole account: free services, trials, paid services, and any services you later add.

3. Services

3.1 We provide the services described in the applicable Service Schedule and product description. Service Schedules define the responsibility model for each service — in particular whether a service is managed (Netz0 operates the underlying platform) or unmanaged (you administer the operating system and software; Netz0 provides the infrastructure).

3.2 As a normal part of operations we may perform maintenance, migrate services between servers or facilities, and change underlying hardware, IP addresses, or network paths. Where a change requires action on your side or causes planned downtime, we will give reasonable advance notice. Scheduled maintenance is governed by the SLA.

3.3 Managing a platform is not managing your content. Even on fully managed services, your websites, applications, mailboxes, and data are yours to create, configure, and maintain. Hands-on work inside your layer is available as IT Services (Section 11).

4. Fees, Billing Cycles, and Invoicing

4.1 All services are billed in advance for the billing cycle you select at purchase (monthly, quarterly, semi-annual, annual, biennial, or triennial, as offered per product). Prices are stated in U.S. dollars and exclude applicable taxes, which are your responsibility and will be itemized where charged.

4.2 Recurring services renew automatically. Renewal invoices are generated in advance of the renewal date, according to the billing cycle:

4.3 We may change prices for future billing periods. Price changes for active recurring services take effect at your next renewal and will be announced with at least 30 days' notice.

5. Payment, Account Credit, and Payment Methods

5.1 We accept the payment methods displayed at checkout (currently including card payments and PayPal, with wire transfer available on request). We may, at our discretion, require a specific payment method for a specific order or account — including requiring non-reversible methods (such as wire transfer or account credit funded by cryptocurrency) for orders we consider higher-risk.

5.2 Your account may hold account credit, which can be applied to purchases. Account credit is non-refundable and cannot be converted to or withdrawn as money, regardless of how it was funded. Credit funded by cryptocurrency is applied at the value credited at the time of the transaction.

5.3 It is your responsibility to keep a valid payment method on file for services set to renew. Failed payments enter the process in Section 6.

6. Late Payment

6.1 Invoices are due on their due date. If an invoice remains unpaid, the following applies, measured from the due date:

6.2 Data on services cancelled for non-payment is deleted no earlier than 30 days after cancellation. This is a floor, not a schedule: we may retain it longer at our discretion, but you should treat day 30 as the deadline to settle the balance and recover your data. Account records are retained separately as described in the Privacy Policy.

6.3 Cancellation for non-payment does not relieve you of amounts owed for services already provided. Unpaid balances, including chargeback-related amounts, may be referred to a third-party collections agency, and such referrals may result in reporting to credit bureaus.

7. Refunds — 45-Day Money-Back Guarantee

7.1 If you are not satisfied, you may request a refund within forty-five (45) days of your first purchase. The money-back guarantee exists so a new customer can try Netz0 without risk; it is not a mechanism for free temporary use of services. Accordingly, it may be used once per customer, not once per product.

7.2 The guarantee applies to Netz0-provided recurring services. It does not apply to fees with hard third-party costs that Netz0 cannot recover — including domain registrations, renewals, transfers, and TLD-specific fees — or to account credit (Section 5.2). For bundled purchases, the refund is the amount paid minus the non-refundable components, which remain available in your account for their term.

7.3 Refunds are of the amount actually paid, in full or in part as applicable, and are issued to the original payment method or, at your choice, as account credit. Processor posting times are outside our control.

7.4 No refund is available for accounts suspended or terminated for violation of these Terms or the AUP.

8. Cancellation

8.1 You may cancel any service yourself, at any time, from your account, choosing either immediate cancellation or cancellation at the end of the paid period.

8.2 There is no proration and no credit for the unused remainder of a billing period. Longer billing cycles are discounted against the monthly price; cancelling mid-cycle and refunding the remainder would retroactively grant a larger discount than the service used. Choose the billing cycle that matches your commitment.

8.3 To avoid being charged for the next period, cancel before the renewal invoice is generated (see the table in Section 4.2). If the renewal invoice has already been generated when you cancel, the invoice is converted to the shortest billing cycle available for the plan — reflecting that the next period has typically already begun to be used — after which the service ends automatically. Example: a $100/year plan whose renewal invoice has been issued converts to one month at the plan's monthly price, and the service then terminates.

9. Chargebacks and Payment Disputes

9.1 If you believe a charge is incorrect, contact our billing department first. Nearly every billing issue is resolved faster by a ticket than by a bank dispute.

9.2 A chargeback, PayPal dispute, or similar payment reversal initiated against a paid charge is treated as a fraudulent transaction and a material breach of these Terms. Upon notice of a dispute, your account and all associated services are suspended immediately.

9.3 Reinstatement after a payment dispute is at Netz0's sole discretion and conditioned on payment of: the disputed amount, a reinstatement fee of four hundred dollars ($400), and the documented costs of responding to the dispute. Netz0 may waive some or all of these where the dispute was demonstrably a mistake and has been withdrawn with the payment provider.

9.4 After any payment dispute, Netz0 may permanently restrict your account to non-reversible payment methods.

10. Technical Support

10.1 Technical support is included, free, for all paid services, 24/7, and covers keeping the service you purchased working as sold: network, hardware, platform availability, provisioning, and account and billing matters.

10.2 Support is provided via support tickets on all paid plans. Live chat and phone support are available where included in your plan or as paid options.

10.3 Support covers Netz0's direct customers only. End-users of a reseller, or clients of a customer, are not entitled to support from Netz0 (see the Reseller Schedule).

10.4 Support does not include work inside your layer of responsibility — website building, application installation and configuration, migrations, or administration of unmanaged servers. That is IT Services (Section 11). Third-party software receives best-effort assistance only, with no guarantee.

11. IT Services (Managed Services)

11.1 IT Services are paid, hands-on work performed by Netz0 inside your layer of responsibility — for example, software installation, configuration, migrations, or server administration.

11.2 IT Services are available as: recurring managed-service plans; fixed-price tasks; and hourly work billed with a one-hour minimum and in 15-minute increments thereafter. Rates and task prices are displayed at ordering; custom work is quoted in advance. IT Services fees are non-refundable once the work is performed.

11.3 Some plans include an allotment of IT tickets at no extra charge, as described in the plan. Support tickets (Section 10) are always free and are never counted against IT ticket allotments.

12. Free Services and Trials

Free services and trials are provided "as is", with no SLA, no support commitments (community resources are available), and no guarantees of continuity. We may modify, limit, or discontinue free services and trials at any time without liability. Trials do not convert to paid services without your order.

13. Your Responsibilities; Data and Backups

13.1 You will use the services lawfully and in compliance with the AUP, and you are responsible for all use of your services, including by your users, employees, agents, or anyone you give access.

13.2 All data you store or process on the services is and remains yours. Netz0 claims no ownership of your content, and accesses your data only as necessary to provide the services and support, to operate and maintain its infrastructure, to comply with law, and to protect Netz0 and its customers.

13.3 Where backups are included with a service, they are provided as a courtesy and on a best-effort basis, as described in the applicable Schedule. You remain responsible for maintaining your own independent backups of your data. In the event of data loss caused by a failure of Netz0 systems, we will make commercially reasonable efforts to assist with restoration; restoration is not guaranteed.

13.4 On unmanaged services, you are solely responsible for the security, patching, configuration, and lawful operation of your environment, as detailed in the applicable Schedule.

14. Confidentiality and Public Communications

14.1 Support conversations and other private communications between you and Netz0 — including tickets, chats, emails, and calls, and the identities and contact details of the individuals involved — are confidential. Neither party will publish them without the other's prior consent. Opinions and reviews are not restricted by this section: you are always free to describe and evaluate your experience publicly.

14.2 If you publicly disclose confidential communications — in particular partial or misleading excerpts — Netz0 may respond publicly to correct the record. Any such response is limited to the minimum disclosure necessary to address the specific claim made, which may include the relevant conversation in full and the documented basis for actions Netz0 took (such as the specific AUP violation behind a suspension). In any such response, Netz0 will redact payment data, credentials, security information, and personal data of third parties, and will not disclose your personal data beyond what is necessary to correct the record and what you have yourself made public.

15. Use of Names and Trademarks

Netz0 does not use customer names, trademarks, or logos in marketing materials, reference lists, or case studies without the customer's prior consent. Likewise, you may not use Netz0's names, trademarks, logos, or materials, or represent any affiliation with or endorsement by Netz0, without prior written consent.

16. Suspension and Termination

16.1 We may suspend or terminate services, with or without prior notice depending on severity, where: an invoice remains unpaid (Section 6); a payment dispute is received (Section 9); you materially breach these Terms or the AUP; your service is the source or target of activity that threatens the security or stability of our infrastructure or other customers; or we are required to by law. Where practical, we will notify you and give you an opportunity to cure before terminating.

16.2 During an investigation of a suspected AUP violation, we may restrict the affected service to prevent further harm.

16.3 You may terminate at any time by cancelling your services (Section 8) and closing your account. Sections that by their nature survive termination — including payment obligations, confidentiality, indemnification, and liability limits — survive.

16.4 Upon termination of a service, your access to it ends and its data is deleted according to the applicable Schedule and, for non-payment cases, Section 6.2. Account records are handled per the Privacy Policy.

Uptime commitments and the corresponding service credits are defined exclusively in the SLA, incorporated by reference. The credits provided in the SLA are your sole and exclusive remedy for downtime and service-level failures.

18. Disclaimers; Limitation of Liability; Indemnity

18.1 Except as expressly stated in these Terms, the Schedules, and the SLA, services are provided "as is" and "as available", and Netz0 disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Netz0 does not warrant uninterrupted or error-free operation, or that the internet itself will transmit your data privately, securely, or intact.

18.2 To the maximum extent permitted by law, Netz0 is not liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits, lost data (see Section 13.3), or business interruption, even if advised of the possibility. Netz0's total aggregate liability arising out of or relating to a service shall not exceed the fees paid or payable to Netz0 for that service attributable to the twelve (12) months preceding the event giving rise to the claim (for billing cycles longer than twelve months, prepaid fees are prorated across the cycle for this purpose).

18.3 You will defend, indemnify, and hold harmless Netz0 and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) brought by third parties arising out of your content, your use of the services, your violation of these Terms or the AUP, or your violation of any third party's rights — excluding claims arising from Netz0's own negligence.

18.4 Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, war, labor disputes, utility or carrier failures, and governmental action. Payment obligations for services already delivered are not excused.

19. Changes to These Terms

We may update these Terms, the AUP, the SLA, and the Schedules from time to time. The current versions are always available at the legal center, with effective dates shown. If we make a material change that adversely affects your rights, we will notify account holders by email at least 30 days before it takes effect and give you the opportunity to cancel before it applies to you. Minor changes take effect when posted. Continued use of the services after the effective date constitutes acceptance.

20. Governing Law; Disputes; Notices; General

20.1 These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction and venue over any dispute arising out of these Terms or the services, and each party submits to that jurisdiction — provided that either party may instead bring a qualifying claim in small claims court. Each party waives trial by jury. Nothing in this section deprives a consumer of mandatory protections of the law of their place of residence where those cannot be waived.

20.2 Notices to Netz0: legal@netz0.com or the postal address above. Notices to you: the email address on your account (keep it current — notices sent there are effective). Abuse reports: abuse@netz0.com.

20.3 These Terms (with the documents incorporated in Section 1.1) are the entire agreement and supersede all prior agreements on the same subject. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder stays in effect. A failure to enforce a provision is not a waiver. You may not assign this agreement without our written consent; we may assign it in connection with a merger, acquisition, or sale of assets. The parties are independent contractors; no agency, partnership, or joint venture is created, and there are no third-party beneficiaries.
